Terms and Conditions 

NAI Signs Online Store (shop.naisigns.com)

These Terms and Conditions ("Terms") govern your access to and use of the NAI Signs online store at shop.naisigns.com (the "Store"), and any purchase you make through it. They apply specifically to Store purchases and are separate from the general NAI Signs Terms and Conditions, which govern our main website and custom project/design/fabrication/installation Services arranged directly with our project team. Where a signed project proposal or contract applies to your order, that contract governs. 

By browsing the Store, creating an account, or placing an order, you ("you," "your," or "Customer") agree to be bound by these Terms. If you do not agree, please do not use the Store. 

NAI Signs is operated by Nationwide Applications LLC d/b/a NAI Signs, headquartered at 17324 Bell North N. Drive, Schertz, TX 78154 ("NAI Signs," "we," "us," "our"), and these Terms are governed by the laws of the State of Texas. 

1. Acceptance of Terms 

Use of the Store constitutes your acceptance of these Terms and our Return & Refund Policy, each incorporated by reference. We may revise these Terms at any time by posting an updated version to the Store; the version in effect at the time you place an order governs that order. 

2. Eligibility & Accounts 

You must be at least 18 years old, and capable of forming a binding contract, to place an order through the Store. If you create an account, you are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately of any unauthorized use. 

3. Products & Product Descriptions 

We aim to describe and depict our products (dimensions, materials, colors, and finishes) as accurately as possible. However: 

• Actual colors may vary slightly from what appears on your screen due to monitor settings;
• Dimensions for custom products are based on the specifications you provide at checkout or in your approved proof; and
• We reserve the right to limit quantities, discontinue products, or correct errors in product descriptions or pricing at any time, including after an order has been placed, in which case we will notify you and offer a full refund for any affected item. 

4. Custom Orders & Proofs 

Many Store products are made to order based on artwork, wording, dimensions, or branding you provide. 

4.1 Proof Approval: For applicable products, we will send a digital proof for your review before production begins. Production starts only after you provide written approval (including approval given electronically through the Store). 

4.2 Accuracy of Submitted Content: You are responsible for the accuracy of all text, artwork, dimensions, and other specifications you submit or approve. We are not liable for errors in the final product that match your approved proof. 

4.3 Client-Submitted Artwork: By uploading logos, artwork, or other files, you represent that you own or have the right to use that content, and you grant NAI Signs a limited license to reproduce it solely to fulfill your order. You agree not to submit content that infringes any third party's intellectual property rights or is unlawful, obscene, or otherwise objectionable. 

5. Pricing & Payment 

• All prices are listed in U.S. dollars and are subject to change without notice until an order is placed.
• Applicable sales tax will be calculated and added at checkout in accordance with Texas Comptroller rules and the rules of your shipping destination, where required.
• Payment is due in full at the time of order unless otherwise stated at checkout. We accept the payment methods listed on the Store at checkout.
• We reserve the right to refuse or cancel any order, including for suspected fraud, pricing errors, or unavailability, in which case any payment collected will be refunded. 

6. Order Acceptance 

Your order is an offer to purchase, which we may accept or decline. A contract is formed only when we confirm your order (e.g., via order confirmation email) or begin production, whichever is earlier. Order confirmation does not guarantee product availability if an error or shortage is later discovered; in that case, we will contact you with options, including a refund. 

7. Shipping & Delivery 

• Estimated production and shipping timeframes are provided at checkout or in your order confirmation and are estimates only, not guarantees.
• Risk of loss and title to products pass to you upon delivery to the shipping carrier, except that we will assist with claims for items damaged or lost in transit as described in our Return & Refund Policy.
• If we are unable to ship your order within the stated timeframe (or, absent a stated timeframe, within 30 days), you have the right to cancel for a full refund, consistent with the FTC's Mail, Internet, or Telephone Order Merchandise Rule. 

8. Returns & Refunds 

All returns, refunds, and exchanges for Store orders are governed by our Return & Refund Policy, which is incorporated into these Terms by reference. 

9. Intellectual Property 

All content on the Store — including product photography, descriptions, layouts, graphics, and the NAI Signs name and marks — is owned by or licensed to NAI Signs and protected by U.S. copyright and trademark law. You may not copy, reproduce, or use Store content for any commercial purpose without our prior written consent. Section 4.3 governs ownership and licensing of content you submit for custom orders. 

10. Prohibited Conduct 

In using the Store, you agree not to: 

• Submit false, fraudulent, or misleading information, including payment information;
• Use the Store for any unlawful purpose or to submit content that infringes third-party rights;
• Attempt to gain unauthorized access to the Store, other users' accounts, or our systems;
• Use bots, scrapers, or other automated means to access the Store or place orders; or
• Resell products purchased through the Store without our prior written consent. 

11. Disclaimer of Warranties 

TO THE FULLEST EXTENT PERMITTED BY LAW, PRODUCTS AND THE STORE ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. THIS DISCLAIMER DOES NOT LIMIT ANY EXPRESS REMEDY PROVIDED UNDER OUR RETURN & REFUND POLICY FOR DEFECTIVE, DAMAGED, OR INCORRECT ORDERS, NOR ANY WARRANTY REQUIRED BY TEXAS LAW THAT CANNOT LAWFULLY BE DISCLAIMED. 

12. Limitation of Liability 

TO THE FULLEST EXTENT PERMITTED BY LAW, NAI SIGNS AND ITS OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE STORE OR ANY PRODUCT PURCHASED THROUGH IT. OUR AGGREGATE LIABILITY FOR ANY CLAIM RELATING TO A STORE ORDER SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID FOR THE PRODUCT(S) GIVING RISE TO THE CLAIM. NOTHING IN THIS SECTION LIMITS LIABILITY THAT CANNOT BE LIMITED UNDER TEXAS LAW, INCLUDING UNDER THE TEXAS DECEPTIVE TRADE PRACTICES–CONSUMER PROTECTION ACT (DTPA) WHERE APPLICABLE. 

13. Indemnification 

You agree to indemnify and hold harmless NAI Signs and its officers, employees, and agents from any claim, loss, or liability (including reasonable attorneys' fees) arising from: (a) your breach of these Terms; (b) content or artwork you submit that infringes a third party's rights; or (c) your misuse of the Store. 

14. Governing Law & Dispute Resolution 

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-laws principles. Any dispute arising from these Terms or your use of the Store is subject to the exclusive jurisdiction of the state or federal courts located in Guadalupe County or Bexar County, Texas, and you consent to venue and personal jurisdiction there. Nothing in this section limits any right you may have under the Texas DTPA or other applicable consumer protection law. 

15. Changes to These Terms 

We may update these Terms at any time by posting a revised version to the Store. Continued use of the Store after changes are posted constitutes acceptance of the revised Terms. 

16. Miscellaneous 

These Terms, together with our Return & Refund Policy and Privacy Policy, constitute the entire agreement between you and NAI Signs regarding your use of the Store. If any provision is held invalid, the remaining provisions remain in full effect. Our failure to enforce any provision is not a waiver of that provision. You may not assign your rights under these Terms without our written consent.
